By accessing and using RepViewer (the "Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms at any time. Your continued use of the Service after changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Accounts and Registration

Creating an Account

To use certain features of RepViewer, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information promptly if it changes
• Maintain the confidentiality of your password
• Accept responsibility for all activity under your account
• Notify us immediately of unauthorized access to your account

Account Eligibility

You must be at least 18 years old to create an account and use the Service. By registering, you represent that you have the legal capacity to enter into these Terms.

Account Suspension

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or applicable laws.

3. Content and Use

User Content

"User Content" includes any information, resumes, profiles, messages, or materials you upload, submit, or post on RepViewer. By submitting User Content, you:

• Grant RepViewer a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content
• Represent that you own or have the right to use and license the User Content
• Warrant that User Content does not infringe third-party rights
• Authorize RepViewer to display User Content to other users for matching and discovery purposes

Permitted Use

You may use RepViewer only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, defame, or harm other users
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorized access to the Service
• Reverse engineer or decompile the Service
• Scrape or automate access to the Service without permission
• Interfere with the operation of the Service

4. User Conduct

Prohibited Behavior

You agree not to engage in any of the following conduct:

• Posting discriminatory, hateful, or abusive content
• Impersonating another person or misrepresenting your identity
• Sending unsolicited messages or spam
• Attempting to defraud or mislead other users
• Blackmail, extortion, or threatening behavior
• Sharing confidential or proprietary information without authorization
• Creating multiple accounts to circumvent restrictions

Consequences of Violation

If you violate these conduct guidelines, we may:

• Issue a warning
• Restrict your account privileges
• Suspend or terminate your account
• Report the behavior to law enforcement if appropriate

5. Intellectual Property Rights

RepViewer Content

All content, features, and functionality on RepViewer (including design, text, graphics, logos, and software) are owned by RepViewer, Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Rights

We grant you a limited, non-exclusive, non-transferable license to access and use RepViewer for personal, non-commercial purposes. This license does not permit you to:

• Modify or copy the Service
• Distribute or resell the Service
• Remove any copyright or proprietary notices
• Use the Service for competitive purposes

6. Termination

Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, we will delete your data within 30 days, except as required by law.

Termination by RepViewer

We may terminate or suspend your account immediately, without notice, if we believe:

• You have violated these Terms
• You are engaging in illegal activity
• You pose a risk to other users or the Service
• It is necessary to comply with legal obligations

Effect of Termination

Upon termination, your right to access the Service immediately ceases. You remain responsible for any activity on your account prior to termination.

7. Limitation of Liability

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, REPVIEWER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free operation

Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REPVIEWER BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Damages arising from unauthorized access to your account

The total liability of RepViewer shall not exceed the amount you paid to RepViewer in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold harmless RepViewer, its officers, directors, employees, and agents from any claims, damages, or losses arising from:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any law or third-party rights

8. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Jurisdiction

You agree that any legal action or proceeding arising under these Terms shall be exclusively resolved in the state and federal courts located in San Francisco, California.

Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to attempt to resolve disputes informally. If informal resolution fails, either party may pursue legal action.

9. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and RepViewer regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
